1. Introduction

Dentorra ("Platform," "we," "us," or "our") is a technology platform and digital marketplace that facilitates connections between dental clinics, dental laboratories, and manufacturing labs worldwide. Dentorra is not a dental laboratory, dental manufacturer, or medical provider. Dentorra does not manufacture dental appliances, provide clinical services, or deliver medical advice.

By accessing or using Dentorra, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

2. Eligibility & Accounts

Professional Requirements: Users must be licensed dental professionals, authorized representatives of licensed dental entities, or authorized representatives of manufacturing labs in good standing within their jurisdiction.

Account Verification: Dentorra may require verification of professional credentials, business registration, and contact information before granting full access to the Platform. Users are responsible for ensuring that all account information is accurate and current.

Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Dentorra immediately of any unauthorized access or use.

3. Platform Role

Facilitator, Not Provider: Dentorra provides a platform for communication, case submission, quoting, payment processing, and coordination. Dentorra does not manufacture dental appliances, provide clinical services, guarantee clinical outcomes, or warrant the fitness of products for specific purposes.

Independent Third Parties: Manufacturing labs are independent third parties. Dentorra does not control their practices, standards, quality, or outcomes. Each lab operates under its own policies, certifications, and professional standards.

No Guarantees: Dentorra does not guarantee that any case will be completed on time, will meet clinical expectations, or will be free from defects. Dentorra does not guarantee the credentials, qualifications, or performance of any manufacturing lab on the Platform. Dentorra does not act as an importer of record or distributor of medical devices.

4. Roles & Regulatory Responsibilities

Custom-Made Devices Framework: All products ordered through Dentorra are custom-made dental devices manufactured on a per-case basis according to a prescription provided by a qualified dental professional.

Importer of Record: The ordering clinic, dental laboratory, or dental professional (the "Ordering Entity") is designated as the importer of record for any product ordered through the Platform.

The Ordering Entity assumes full responsibility for:

  • compliance with all applicable laws and regulations in its jurisdiction, including importation requirements;
  • the validity and accuracy of the prescription;
  • the suitability of the device for the intended patient; and
  • all obligations related to patient care and use of the device.

Manufacturer Responsibility: The manufacturing laboratory is the legal manufacturer of the custom-made device and is solely responsible for:

  • fabrication of the device in accordance with the provided prescription and specifications;
  • materials, workmanship, and production processes; and
  • compliance with applicable manufacturing standards and regulations in its jurisdiction.

Dentorra Platform Role: Dentorra acts solely as a technology platform facilitating communication, documentation, and payment between independent parties.

Dentorra:

  • is not a manufacturer, distributor, importer, or seller of medical devices;
  • does not take ownership, possession, or control of any product;
  • does not act as an agent of either the Ordering Entity or the manufacturing laboratory; and
  • does not assume any regulatory or clinical responsibility for any device.

5. Orders, Quotes & Payments

Quote Process: When you submit a case, a manufacturing lab will provide a quote that includes price, turnaround time, and specifications. Quotes are not binding until you explicitly approve them. You may cancel a case before approving a quote without penalty.

Payment Timing: Payment is collected only after you have reviewed and approved the lab's quote. Production begins only after both the quote is approved and payment is confirmed. Dentorra facilitates payment processing through third-party payment processors.

Payment Security: Dentorra does not store full payment credentials. All payment information is processed securely by third-party processors in accordance with industry standards.

No Refunds for Approved Cases: Once a quote is approved and payment is processed, refunds are not available except as provided under Dentorra's Payment Protection policy.

6. User Responsibilities

Legal Compliance: You are responsible for ensuring that your use of Dentorra complies with all applicable laws, regulations, and professional standards in your jurisdiction, including but not limited to licensing requirements, patient consent laws, data protection regulations, and import/export restrictions.

Accuracy of Information: You are responsible for ensuring that all files, scans, impressions, clinical notes, and instructions submitted through Dentorra are accurate, complete, and properly labeled. Inaccurate or incomplete information may result in delays, remakes, or other complications.

Proper Use: You agree not to use Dentorra for unlawful purposes, to harass or threaten other users, to submit false information, or to violate the intellectual property rights of others.

Patient Data: If you submit case files containing patient data, you are responsible for obtaining proper patient consent and complying with all applicable data protection laws.

Importer Responsibility: You acknowledge that you act as the importer of record for any product ordered through the Platform and are responsible for ensuring compliance with all applicable importation and regulatory requirements in your jurisdiction.

7. Intellectual Property

Ownership: You retain ownership of all files, scans, designs, and information you upload to Dentorra. You grant Dentorra and manufacturing labs a limited, non-exclusive license to process, view, and use your files solely for the purpose of fulfilling your case.

Platform Content: Dentorra retains ownership of all Platform content, features, and functionality, including but not limited to software, designs, and documentation.

8. Non-Circumvention & Platform Exclusivity

Platform-Based Transactions: All communications, negotiations, quotes, and transactions initiated through Dentorra must be completed through the Platform.

No Circumvention: Users agree not to directly or indirectly circumvent Dentorra by engaging, soliciting, negotiating, or transacting outside the Platform with any party introduced through Dentorra.

This includes, but is not limited to:

  • sharing or using contact information obtained through Dentorra to transact outside the Platform;
  • requesting or accepting off-platform payments;
  • redirecting cases, orders, or future work outside Dentorra; and
  • entering into side agreements that bypass Dentorra.

Scope of Protection: This restriction applies to:

  • all cases initiated on Dentorra;
  • any follow-up or related work derived from such cases; and
  • any relationship established through the Platform.

Duration: This obligation applies during the use of the Platform and for a period of twenty-four (24) months after the last interaction between the parties on Dentorra.

Enforcement: Dentorra reserves the right to:

  • suspend or terminate accounts involved in circumvention;
  • restrict access to the Platform;
  • recover any fees or losses resulting from circumvention; and
  • pursue legal remedies where applicable.

Acknowledgment: Users acknowledge that Dentorra's business model relies on facilitating and securing transactions between parties, and that circumvention undermines the integrity of the Platform.

9. Disclaimers & Limitation of Liability

As-Is Platform: The Platform is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Medical Advice: Dentorra provides a platform for case submission and communication only. Dentorra does not provide medical, clinical, or professional advice. All clinical decisions remain the responsibility of the treating clinician.

No Warranties on Outcomes: Dentorra does not warrant that any case will be completed on time, will meet clinical expectations, or will be of any particular quality. Dentorra does not warrant that manufacturing labs will comply with instructions or deliver defect-free work.

Regulatory Compliance: Dentorra does not assume any responsibility for regulatory compliance related to the importation, manufacture, or use of custom-made dental devices.

Liability Limits: To the fullest extent permitted by law, Dentorra's total liability for any claims arising from use of the Platform shall not exceed the fees paid by the user in the 12 months preceding the claim, or $100, whichever is greater. In no event shall Dentorra be liable for indirect, incidental, special, or consequential damages.

10. Suspension & Termination

Grounds for Suspension: Dentorra may suspend or terminate your account immediately if you violate these Terms, submit false information, engage in fraudulent activity, abuse the Platform, or pose a risk to other users or the integrity of the Platform.

Notice and Appeal: Where practicable, Dentorra will provide notice of suspension or termination. You may appeal the decision by contacting Dentorra Support.

11. Governing Principles

International Framework: These Terms are governed by generally accepted principles of international commercial law and applicable regulations in jurisdictions where Dentorra operates.

Dispute Resolution: Any disputes arising from these Terms or use of the Platform shall first be addressed through good-faith negotiation and communication via Dentorra Support.

Venue and Jurisdiction: The venue and jurisdiction for any legal proceeding shall be determined by Dentorra's operating entity at the time of dispute. Users agree to submit to the jurisdiction of appropriate courts in that location.

12. Changes to Terms

Dentorra may update these Terms from time to time. Your continued use of the Platform constitutes acceptance of the updated Terms. We will notify users of material changes via the Platform.
